“Provider” means the independent accounting/tax/advisory professional; “platform” means the Cloudbase software.
No professional advice
Cloudbase Accounting Solutions, LLC (“Cloudbase”) provides software tools only. Cloudbase is not a certified public accounting firm, law firm, tax-preparation firm, registered investment adviser, or financial-advisory firm, and it does not provide accounting, tax, legal, investment, or other professional advice. All professional services accessed through or documented on the platform are provided solely by the independent professional (“Provider”) you engage, who is solely responsible for those services and for compliance with all applicable professional, licensing, and regulatory standards. Use of the platform does not create any professional-client, fiduciary, or advisory relationship with Cloudbase.
AI-generated output
Certain features use artificial intelligence and machine-learning models. AI-generated output (including summaries, drafts, classifications, suggestions, extracted data, and alerts) may contain errors, omissions, or inaccuracies and may not reflect the most current information. AI output is provided for convenience only, is not a substitute for professional judgment, and must be independently reviewed and verified by a qualified Provider before it is relied upon or acted upon. Where you interact directly with an automated (AI) assistant, that interaction is with software and not a human. Cloudbase does not warrant the accuracy, completeness, or fitness for any particular purpose of any AI-generated output.
AI-drafted engagement letters and documents
Engagement letters, proposals, memos, and other documents generated by the platform’s AI are drafts only. They are produced automatically from available data and may contain errors or omit terms required for a particular engagement or jurisdiction. Such documents are not legal advice and do not constitute a binding agreement unless and until reviewed, edited as necessary, approved, and issued by the Provider. The Provider is solely responsible for the final content, legal sufficiency, and use of any such document. Cloudbase does not practice law and does not review generated documents for legal adequacy.
IRS data, tax data and deadline alerts
Tax data retrieved, parsed, or displayed through the platform (including IRS transcript data and automatically detected forms) may be incomplete or inaccurate and must be independently verified by the Provider. Filing-deadline alerts, form-detection prompts, and similar automated features are aids only and do not guarantee that any deadline will be met or that any required form has been identified. The Provider remains solely responsible for all tax positions, filings, deadlines, and compliance. Taxpayer information is handled subject to federal law restricting the use and disclosure of tax-return information; it is not used or disclosed except as permitted by law and with any required consent.
Electronic signatures
Electronic signatures captured through the platform (including knowledge-based authentication) are intended to be legally binding under applicable federal and state electronic-signature law. Enforceability depends on proper execution and on the requirements applicable to the specific document type and jurisdiction; certain documents are excluded from electronic-signature statutes. The Provider is responsible for confirming that electronic signature is legally sufficient for each document and transaction.
Payments, surcharges and convenience fees
Payment processing is provided through third-party processors. Where the platform applies a consumer convenience fee or credit-card surcharge, the amount and manner of that charge are governed by federal law, card-network rules, and the law of the consumer’s state, which vary and change. Surcharges on debit and prepaid cards are prohibited. Some states prohibit or cap credit-card surcharges, or require specific disclosures or a fee-free payment alternative. The Provider is responsible for ensuring that any fee it enables complies with the laws of each state in which it does business and with applicable card-network rules. Cloudbase’s fee tools do not constitute legal advice on surcharge legality.
Receipt and document scanning
Automated receipt and document scanning uses optical character recognition and AI to extract data. Extracted data may be inaccurate or incomplete and must be verified by the user or Provider before use. Cloudbase does not warrant the accuracy of extracted data. Users and Providers are responsible for maintaining original records as required by law.
Forecasts, analytics and revenue estimates
Revenue analytics, forecasts, utilization metrics, and similar outputs are estimates based on data available to the platform and on modeling assumptions. They are not guarantees of future results and should not be the sole basis for any business or financial decision. Actual results will vary.
Marketplace matching and reviews
The consumer marketplace matches consumers with independent Providers based on submitted information and Cloudbase’s internal matching criteria. A match is not a referral, recommendation, endorsement, or guarantee of any Provider’s qualifications, licensing, availability, or the quality or outcome of any service. Cloudbase does not verify, and is not responsible for, the services provided by any Provider. Ratings and reviews are submitted by users and reflect their own opinions; Cloudbase does not adopt or endorse user-generated content and is not liable for it. Consumers are responsible for independently confirming a Provider’s credentials before engaging them.
Ratings and reviews
Reviews and ratings on the platform must reflect the genuine, first-hand experience of a real user. Do not submit a review if you have not used the Provider’s services, if you were paid or given something of value in exchange for a particular rating or sentiment, or if you have a material connection to the Provider (for example, you are an employee, relative, or competitor) without clearly disclosing it. Cloudbase does not create, buy, sell, suppress, or alter reviews to misrepresent any Provider, and prohibits others from doing so on the platform. Reviews are the opinions of the users who post them.
